The day has come for the hearing on the provisional injunction to re-appoint an inside director at ADOR, which was filed by former CEO Min Hee Jin, stating that she could not accept her dismissal as CEO of ADOR.
A hearing will be held today (11th) regarding the provisional injunction, including the exercise of voting rights, that former CEO Min Hee Jin filed against HYBE.
The 50th Civil Division of the Seoul Central District Court (Chief Judge Kim Sang-hoon) set the hearing date for this morning.
On the 13th of last month, Min Hee Jin filed an application for a provisional injunction with the Seoul Central District Court to convene an extraordinary general meeting of ADOR shareholders and to re-appoint ADOR's internal directors.
Min Hee Jin, who was dismissed as CEO by ADOR's board of directors in late August, said, "This is a violation of the shareholders' agreement, and the court has issued a provisional disposition prohibiting the exercise of voting rights.
"This is also against our wishes," he said. Min Hee Jin's application for provisional disposition against HYBE in May was previously cited.
At the time, Min Hee Jin filed for a provisional injunction to prevent HYBE from exercising their voting rights on the proposal to dismiss her as CEO.
The court upheld Min Hee Jin's hand. Min Hee Jin's side said, "This is a direct violation of the court's provisional injunction to guarantee the term of the CEO," and
HYBE countered that the shareholder agreement had already been terminated due to Min Hee Jin's legitimate reasons for termination.
Taking into consideration the court's provisional injunction hearing period, Min Hee Jin's side will call for an extraordinary shareholders' meeting before the expiration of her term and exercise their voting rights in favor of the "re-election of Min Hee Jin as an inside director."
However, ADOR later clarified its position regarding NewJenes' request for Min Hee Jin to return as CEO, stating, "The board of directors decided to reinstate Min Hee Jin as CEO.
"We resolved to convene an extraordinary shareholders' meeting to re-elect the directors as internal directors," it said. The date for the extraordinary shareholders' meeting was scheduled for October 17.
After being re-elected as an inside director, Min Hee Jin is seeking to return to her role as CEO.
Since a provisional injunction has been cited once before, attention will be focused on what decision the court will make this time.
