Min Hee Jin filed a petition for provisional injunctions against HYBE, including the exercise of voting rights, at the Seoul Central District Court on the 13th.
The company filed a provisional injunction for the re-election of internal director R. Min Hee Jin was dismissed from her position as ADOR's CEO on the 27th of last month, and her position was filled by new CEO Kim Juyeon.
Min Hee Jin's side argued that the decision of ADOR's board of directors was unfair and launched a counter-argument. "The dismissal of former CEO Min Hee Jin as CEO violated the shareholders' agreement.
Min Hee Jin also argued that HYBE had exercised its voting rights on the dismissal proposal in May.
After her dismissal, Min Hee Jin's side said, "This is still a valid shareholder agreement and a ruling that requires the term of the representative director to be guaranteed.
This is a direct violation of the court's provisional injunction decision," but HYBE said the shareholder agreement has already been terminated, adding, "If there is a reason for termination, it can be terminated by written notice."
Min Hee Jin's side filed an application for a provisional injunction to the effect that she should be re-elected as a director of ADOR and then appointed as the representative director. Min Hee Jin was appointed as an internal director of ADOR for three years in November.
As the term of office for Min Hee Jin is about to expire, Min Hee Jin's side stated, "We have no choice but to convene an extraordinary general meeting of shareholders before the expiration of the term of office of former CEO Min Hee Jin as an internal director, and will hold a meeting to decide on the re-election of Min Hee Jin as an internal director.
"We have filed an application for a provisional injunction to have the board exercise its voting rights in favor of the proposal," he explained. Min Hee Jin is currently focusing on returning to her position as CEO of ADOR.
Members of "Min Hee Jin" also demanded that Min Hee Jin be reinstated as representative, but ADOR was unable to bridge the gap, stating that this was "unacceptable."
